What is a Form 4 filing?
Form 4 is the SEC disclosure that officers, directors, and 10%-or-greater shareholders of public companies must file when they buy or sell shares of the company. The filing is due within two business days of the trade. Insider Alpha pulls every Form 4 the moment it hits EDGAR and turns the raw XML into structured trade signals.
What is a cluster buy?
A cluster buy is when multiple insiders at the same company file open-market purchases within a short window, typically two to four weeks. Cluster buys have historically been one of the strongest insider-trading signals because they require independent decisions by multiple parties with material non-public information about the company's prospects.
What are activist disclosures?
Activist disclosures are 13D filings, which are required when an investor acquires more than 5% of a public company's shares with the intent to influence corporate governance, strategy, or capital allocation. 13D filings often precede major corporate actions like board changes, spin-offs, or sales.
How does the insider confidence score work?
Every insider in the database has a track record score based on the forward returns of their historical trades. The score weights size, frequency, conviction (purchases on the open market versus 10b5-1 sales), and historical hit rate.
